CORPORATE DOSSIER

Clean Plus, Inc. is a privately held corporation chartered under the laws of the State of Minnesota, U.S.A. It was chartered on July 22, 1982. Members of the Board of Directors are: George J. Coy, Chief Executive Officer, Matthew D. Coy, President, Michele E. Coy Umsted, Vice President, Tamara L. Coy Strand, Secretary, Colleen A. Coy Herzog, Treasurer, and Patricia L. Coy, Director.

The Company was established to develop and market Clean Plus Hand Soap which it has continued to do since its creation. Sales of Clean Plus have established it as a formidable competitor in the vast industrial hand cleaner market across the U.S. and Canada and has earned a substantial reputation as a product of the highest quality. As a company, Clean Plus, Inc. is known for its dedication to customer service and satisfaction. It has recently expanded its international market penetration with exports to Europe, The Middle East and Pacific Rim Nations.

In August of 1987, Clean Plus, Inc. purchased the assets of Tarkelp Manufacturing, a firm that developed, manufactured and marketed Tarkelp Hand Soap since 1931. Clean Plus, Inc. has continued to manufacture and market Tarkelp Hand Soap. It has increased the market penetration of this product, especially in the industrial markets as well as the deep discount merchandisers.

Currently, Clean Plus, Inc. consists of five divisions: The Chemical Division (as described above), The Publishing Division, The Glass Division, the Sorbent Division, and the Parts Division.

CPI Publishing was established in 1988 and serves the general public with the publication of both subscription and bound book publications. Its publication list has been modest, but profitable. This division was created to make more efficient use of administrative staff and facilities and to serve as a counterpoint to the seasonal sales volatility of the Chemical Division. CPI Publishing has served its purpose well. The Publishing Division also offers the other divisions of the company easy access to printing facilities. This access allows for flexible and efficient production of sales and marketing materials for use both in-house as well as custom jobs for various customers.

CPI’s Glass Division is, essentially, an outgrowth of the Chemical Division. In the year 2000, CPI’s Chemical Division developed and introduced a pre-saturated cleaning towel, branded and marketed as Clean Plus Rugged Wypes. This product, with its’ outstanding performance characteristics on urethane based products, was an instant success in the glass replacement trades, specifically, auto glass replacement. CPI’s distributors, keying off of CPI’s high quality, respectable pricing, and outstanding service, began making other product requests to CPI. These requests have multiplied and, essentially evolved into a business division unto itself, providing high-quality, fairly priced tools, shop supplies and consumables to the auto glass market.

CPI Parts Division began to market its Victory Lap line of automotive alternator and starter repair kits and component parts in August of 1991. From its inception, the Parts Division was designed to serve the international marketplace. Its growth and acceptance in the U.S. and Canadian markets has been nothing less than phenomenal. It is the largest product of starter and alternator repair kits in the automotive market. The success of the Victory Lap line is attributed to: 1) Its multi-lingual approach to marketing 2) Package design 3) Quality components 4) End-user service 5) Prompt delivery and 6) Distributor service.

In June 1995, Clean Plus, Inc. purchased the assets of Jimco Maintenance Reminders and added its service reminders to its line of products offered to the Automotive Mass-Merchandisers by the Parts Division. The Jimco line has been exceedingly successful under the CPI umbrella.

The recently launched Sorbent Division manufactures environmentally friendly, patented sorbent products designed for both the homeowner and commercial applications. With the ever-increasing environmental awareness, this line of products (known as Drip Trap) has enjoyed overwhelmingly positive responses from the marketplace. The Sorbent Division’s products answer many of the key concerns regarding incidental oil spills, including cost, ease of use, and, equally as important, responsible and convenient disposal.

Clean Plus, Inc. is a small company, by anyone’s standards. However, it is an established organization with a solid base of complimentary divisions. All divisions have an admirable history and show great promise for growth.

Future growth for the corporation is planned to be realized through new product development as well as steadily increasing market penetration of existing products in both domestic and export markets.
